Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Billie Workers Cooperative ("Billie," "we," "us," or "our") governing your access to and use of the Lite Invoice mobile application and related services (collectively, the "Service").
By downloading, installing, or using Lite Invoice, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
Description of Service
Lite Invoice is a mobile application for creating, managing, and sending invoices. The core features are provided free of charge. We may offer optional paid features or subscriptions in the future, which will be clearly identified before any charges apply.
Eligibility
You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
Your Account
You may use certain features of the Service without creating an account. However, to sync data across devices, you must create an account using your email address.
- You are responsible for maintaining the security of your account and devices.
- You must provide accurate and complete information when creating an account.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized access to your account.
We recommend not jailbreaking or rooting your device, as this may compromise security features and affect the Service's functionality.
Your Responsibilities
When using the Service, you agree to:
- Ensure the accuracy of your invoices and business information.
- Comply with all applicable laws, including tax and business regulations in your jurisdiction.
- Use the Service only for lawful purposes and legitimate business invoicing.
- Not use the Service for fraudulent invoicing or illegal activities.
- Not attempt to access, probe, or test the vulnerability of the Service or circumvent any security measures.
- Not interfere with or disrupt the Service or servers or networks connected to the Service.
- Not use automated means (bots, scrapers, etc.) to access the Service without our prior written consent.
- Not impersonate any person or entity or misrepresent your affiliation with a person or entity.
Your Data
You retain ownership of all data you submit to the Service ("Your Data"), including your business information, client information, and invoices.
- You grant us a limited license to use Your Data solely to provide and improve the Service.
- You can export or delete Your Data at any time from the app settings.
- You are solely responsible for the content and accuracy of Your Data.

Intellectual Property
The Service, including its design, features, code, and content (excluding Your Data), is owned by Billie Workers Cooperative and protected by intellectual property laws.
- You may not copy, modify, distribute, sell, or lease any part of the Service.
- You may not reverse engineer, decompile, or attempt to extract the source code of the Service.
- You may not use our trademarks, logos, or branding without prior written consent.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms.
Third-Party Services
The Service uses third-party services that have their own terms and conditions. By using the Service, you also agree to comply with the terms of these third-party services:

Internet Connection & Fees
Some features of the Service require an active internet connection. The app works offline for basic invoice creation, but syncing and sharing require connectivity. We are not responsible if the Service doesn't function fully without an internet connection. You are responsible for any data charges from your mobile provider, including roaming charges when using the Service abroad.
Updates & Modifications
We may update the Service from time to time to add features, fix bugs, or improve performance. The Service is currently available on iOS and Android, and system requirements may change with updates.
- You agree to accept updates as they become available to continue using the Service.
- We may modify, suspend, or discontinue the Service (or any part of it) at any time.
- We will make reasonable efforts to notify you of significant changes.
Termination
You may stop using the Service at any time by deleting your account and uninstalling the app.
We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:
- You breach any provision of these Terms.
- We are required to do so by law.
- We reasonably believe your use poses a security risk or may harm other users.
- We discontinue the Service entirely.
Upon termination, your right to use the Service ends immediately. Provisions of these Terms that by their nature should survive termination will survive (including ownership, warranty disclaimers, indemnification, and limitation of liability).
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, reliability, or completeness of any content or information provided through the Service.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BILLIE WORKERS COOPERATIVE, ITS MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of revenue, profits, or business opportunities
- Errors in invoices you create or send
- Tax, legal, or regulatory issues arising from your use of the Service
- Loss of data (though we make reasonable efforts to protect your data)
- Issues resulting from third-party services or integrations
- Inability to access or use the Service
- Any unauthorized access to or use of your data
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless Billie Workers Cooperative, its members, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Data or content you submit through the Service; (c) your violation of these Terms; (d) your violation of any applicable laws or regulations; or (e) your violation of any third-party rights.
Dispute Resolution & Arbitration
Informal Resolution: Before filing any formal dispute, you agree to first contact us at support@liteinvoice.app to attempt to resolve the dispute informally. We will try to resolve disputes within 30 days.
Binding Arbitration: If we cannot resolve a dispute informally, you and Billie agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by a mutually agreed-upon arbitration provider, rather than in court. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.
Class Action Waiver: YOU AND BILLIE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
Exceptions: Either party may bring claims in small claims court if the claims qualify. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights.
Opt-Out: You may opt out of this arbitration agreement by sending written notice to legal@liteinvoice.app within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration provision.
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law principles. For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in New Zealand.
General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Billie regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.
- Assignment: You may not assign or transfer your rights under these Terms. We may assign our rights and obligations without restriction.
- No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
- Notices: We may send you notices via email to the address associated with your account or through the Service itself.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, provide additional notice (such as in-app notification). We encourage you to review these Terms periodically. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
